Verified company record vs virtual data room

A data room stores files. A record states facts and links each one to its document. Here is where each fits in a raise, and when a data room is all you need.

A virtual data room stores files and controls who sees them. A verified company record states the facts about the company and links each one to the document it came from. A room answers “can I see the documents?”; a record answers “is this figure true, and who stands behind it?”

When a data room is enough

A data room is the right tool, and a record would be overkill, when:

  • there is one transaction with one counterparty and a fixed timetable, such as a single sale process run by an adviser;
  • the buyer will do its own verification anyway and budgets for it;
  • the documents are already complete, consistent and recent;
  • what you need most is permissions, watermarking and an audit trail of who opened what.

In those cases, keep the room. The record starts to pay when the same questions arrive from the second investor, the lender and the auditor, and the pack has to be rebuilt each time.

When a record pays for itself

  • You raise in rounds, or raise and borrow against the same company.
  • Counterparties keep coming back with the same questions.
  • Gaps or contradictions have already cost you time or price in a previous deal.
  • You want an AI agent, or an investor’s analyst, to read the company without calling you.
